Introduction
Welcome to Projo. Projo operates a real-estate lending marketplace that helps borrowers (real-estate investors, developers, operators, and the companies they control) prepare a loan application once and reach many private lenders, funds, and institutions, and helps lenders evaluate deals and issue term sheets. These Terms of Use (the "Terms") govern your access to and use of the Projo website, mobile application, and related services (the "Services").
By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Services.
Projo Is a Marketplace, Not a Lender
Projo is a technology platform that connects borrowers and lenders. Projo is not a lender, mortgage broker, broker-dealer, investment adviser, or provider of financial, legal, tax, or accounting advice. We do not originate, fund, or service loans, and loan principal does not move through the platform.
Any loan is an agreement solely between the borrower and the lender. Projo does not guarantee that you will receive an application, an offer, funding, or any particular terms, and does not endorse or guarantee any borrower, lender, deal, or outcome. Underwriting analyses and other AI-assisted outputs are informational aids only. You are responsible for your own decisions and should obtain independent professional advice as appropriate.
Acceptance of Terms
By accessing and using the Services, you agree to be bound by these Terms and our Privacy Policy. These Terms apply to all users of the Services, including borrowers, lenders, and investors.
Eligibility
To use the Services, you must be at least 18 years old and able to enter into a binding agreement. If you use the Services on behalf of a company or other entity, you represent that you are authorized to bind that entity, and "you" refers to both you and that entity. By using the Services, you represent and warrant that you meet these requirements.
Account Registration
To access certain features, you must register for an account using a valid email address or a supported sign-in method. You agree to:
Provide accurate, current, and complete information during registration and keep it up to date.
Maintain the security of your credentials and accept responsibility for activity under your account.
Notify us immediately if you discover or suspect any unauthorized access to or use of your account.
Borrower Responsibilities
If you use the Services as a borrower, you agree that:
The information and documents you submit — including entity, financial, credit, and property information — are accurate, complete, and ones you are authorized to share.
By selecting lenders and submitting an application, you authorize Projo to share your application and supporting information with those lenders so they can evaluate it.
Where a credit check is performed, you authorize it and understand it may result in a credit inquiry.
Lender Responsibilities
If you use the Services as a lender, you agree that:
You are solely responsible for your own credit, underwriting, and lending decisions and for complying with all laws applicable to your lending activities.
You will use borrower information only to evaluate and act on the applications routed to you, keep it confidential, and not use it for any other purpose or share it beyond what is necessary.
Any term sheet, offer, or loan you make is an agreement between you and the borrower, and Projo is not a party to it.
Use of the Services
You agree to use the Services only for lawful purposes and in accordance with these Terms. You are solely responsible for your conduct and agree not to:
Use the Services in any manner that could interfere with, disrupt, or inhibit other users' use of the Services.
Impersonate any person or entity or misrepresent your identity or affiliation.
Use the Services for any unauthorized or illegal purpose, or to violate these Terms or applicable law.
Prohibited Conduct
You agree not to:
Misuse, misappropriate, or disclose other users' personal or financial information beyond what is necessary to evaluate a deal.
Collect or store data about other users without authorization.
Use any bot, scraper, or other automated means to access the Services without our express written permission, or attempt to circumvent security or usage controls.
Solicit users off-platform to avoid fees, spam other users, or sell or transfer your account.
AI-Assisted Features
The Services use automated processing and artificial intelligence to read documents and to generate underwriting analyses, risk indicators, and draft communications. These outputs are provided to assist users and may contain errors or omissions. They are not financial, legal, or investment advice, and they do not constitute a lending decision. You remain responsible for reviewing outputs and making your own decisions.
Content
You may upload content, including documents, project details, and information about your experience. You are solely responsible for the content you provide and represent that you have the rights to provide it.
You grant Projo a non-exclusive, worldwide, royalty-free license to host, use, reproduce, process, adapt, and display your content as needed to operate and improve the Services, including sharing it with the lenders you select. This license is limited to operating the Services and does not transfer ownership of your content.
Fees and Payments
Projo currently provides the marketplace to borrowers and lenders at no charge. We may in the future charge lenders a fee for each qualified deal lead we deliver to them, as set out in the applicable lender agreement and on advance notice. Projo does not take a commission, percentage, or other compensation based on the size of any loan, the terms of any loan, or whether a loan closes. We may also offer optional paid services, such as entity-formation services.
Applicable fees, and any changes to them, will be described in the Services or a separate agreement. You are responsible for any taxes associated with fees you owe.
Intellectual Property
All content, trademarks, service marks, trade names, logos, and other intellectual property in the Services (other than user content) are the property of Projo or its licensors. You agree not to use any such intellectual property without our express written consent. If you believe your copyright has been infringed, please contact us at support@projo.co.
Third-Party Services
The Services rely on and integrate third-party providers (for example, for hosting, AI processing, payments, e-signature, credit reporting, messaging, property data, email, and analytics). Your use of features that depend on a third party may also be subject to that provider's terms. Projo is not responsible for third-party services or the acts or omissions of other users.
Termination
We may suspend or terminate your account or access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users, third parties, or Projo. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.
Disclaimers
The Services are provided on an "as-is" and "as available" basis. To the maximum extent permitted by law, Projo makes no warranties, express or implied, regarding the Services, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Projo does not warrant that the Services will be uninterrupted or error-free, or that any deal, funding, or outcome will result from your use of the Services.
Limitation of Liability
To the maximum extent permitted by law, Projo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, goodwill, or other intangible losses, resulting from:
Your use of, or inability to use, the Services.
Any lending decision, loan, term, or dealing between a borrower and a lender.
Any unauthorized access to or use of our systems or your information.
Any conduct or content of any user or third party on the Services.
Projo's total aggregate liability arising out of or relating to the Services is limited to US $50,000 or the total fees you paid to Projo in the six months preceding the event giving rise to the claim, whichever is less.
Indemnification
You agree to indemnify and hold harmless Projo and its affiliates, officers, and employees from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your content, your loans or lending activity, or your violation of these Terms or applicable law.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict-of-law principles. Any disputes arising out of or in connection with these Terms shall be resolved exclusively in the competent courts located in Israel.
Changes to These Terms
We may modify these Terms from time to time. We will notify you of changes by posting the updated Terms in the Services and updating the date above. Your continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.
